CONDITIONS GÉNÉRALES ET DE VENTE M. BASIQUES
ARTICLE 1 : OBJET
The company M. BASIQUES (hereinafter "M. BASIQUES") operates a platform accessible from the website www.mbasiques.com (hereinafter "the Website"), which allows to offer online pre-ordering of interior and decorative items (hereinafter "the Product(s)") sold by M. BASIQUES.
The Site is intended for consumers, defined as any natural person of legal age, at least 18 years old or having the authorization of his legal representative if he is a minor at the date of validation of his order, who acts for purposes that do not fall within the scope of his commercial, industrial, artisanal, liberal or agricultural activity (hereinafter the "Buyer(s)") and exclusively domiciled in one of the countries of delivery as specified in Article 6 of these terms and conditions.
The purpose of these general terms and conditions (hereinafter the "General Terms and Conditions") is to set out the terms and conditions for ordering Products via the Website, as well as to define the rights and obligations of the Parties in this context.
They express the entire agreement of the Parties and cancel and replace any previous agreement, letter, offer or other written or oral document having the same purpose. They are accessible at any time by a direct link on the home page of the Website.
The Website operates on a pre-order system. By placing a pre-order, the Buyer acknowledges that if the pre-order target mentioned on each pre-ordered product sheet is not reached by the end of the pre-order deadline, he/she will be reimbursed for the totality of his/her purchase, and the production of the pre-ordered item will not be launched. If the Buyer wishes to be refunded for a pre-ordered or in-stock item and requests it, the refund procedure will be initiated immediately upon receipt of the returned item.
Any pre-order of products on the Site implies the prior consultation of these general terms and conditions (the "GTC") and their unconditional and irrevocable acceptance. Consequently, the Buyer acknowledges that he/she is perfectly aware of the fact that his/her agreement concerning the content of these GTC does not require the handwritten signature of this document, insofar as the Buyer wishes to order online the Products presented in the context of the Website's store. The Buyer declares to have the capacity to conclude the present contract, i.e. to have the legal majority, eighteen (18) years, and not to be under guardianship. The parties agree that their relations will be exclusively governed by these GTC.
M BASIQUES reserves the right to adapt or modify at any time the present GTC. It is agreed that in case of modification, the version of the GTC applicable to any pre-order is the one appearing online on the Website on the day the pre-order is placed.

ARTICLE 3 : ACCEPTATION DES CONDITIONS GENERALES
The Buyers declare, by registering on the Website, to have taken knowledge of the General Conditions and to accept them expressly by notching the box envisaged for this purpose.

BASIQUES deems most appropriate. Buyers can access their Personal Space at any time after identifying themselves with their chosen login and password
Buyers guarantee that all information they provide in the registration form is accurate, up-to-date and sincere, and is not misleading. They undertake to update this information in their Personal Space without delay in the event of modifications, so that it always corresponds to the above-mentioned criteria. The Buyer is solely responsible for the consequences resulting from false or inaccurate information transmitted or whose use would be illegal.
ARTICLE 5 : PRODUITS ET CONFORMITÉ

. Certains produits étant de confection artisanale, M. BASIQUES ne peut garantir à l’Acheteur une conformité stricte des produits à leur représentation sur le Site.
ARTICLE 6 : PRIX, DISPONIBILITE ET LIVRAISON
6.1. Prix
The prices displayed on the Website are indicated in euros, including all French taxes (French VAT and other taxes that may be applicable), excluding shipping costs. These costs vary according to the place of delivery as well as the delivery method chosen and are indicated at all stages of the order. The prices are firm, without discount or rebate. These prices can be modified at any time by M. BASIQUES. The prices displayed are only valid on the day of the order and are not effective for the future. The price applicable to the Buyer is the one in force at the time of the order. Shipping costs, order processing fees and packaging costs will be indicated in the Buyer's shopping cart, before the final validation of the order.
6.2 Précommande
The confirmation of the Pre-order implies the acceptance by the Buyer of the GTC and the essential characteristics of the Products. The sums paid in advance by the Buyer do not constitute a deposit, within the meaning of Article 1590 of the Civil Code.

The Buyer expressly declares that he/she has all the necessary authorizations to use the payment method when validating his/her order. He also agrees to ensure his solvency before any pre-order, otherwise M. BASIQUES can proceed with the delivery of pre-ordered products. In case of insolvency, M. BASIQUES reserves the right to suspend or cancel any pre-order or delivery in case of non-payment or cancellation of payment. M. BASIQUES reserves the right to cancel or refuse a pre-order in case of dispute with the Buyer on a previous order.
If the minimum goal of a pre-order campaign is not reached, M. BASIQUES will contact the Buyer at the end of the campaign to announce its decision to refund or produce. In this case, M. BASIQUES shall proceed to the reimbursement of the Buyer within fourteen (14) days from the cancellation of the Pre-order.
6.4 Livraison
6.4.1 Lieu de livraison
Delivery is made to the delivery address indicated by the Buyer, it being specified that this address must be the residence address of the Buyer or of any other natural person of his choice, if this is clearly specified during the Pre-order. Delivery cannot be made to hotels or post office boxes.
When registering the personal details of the Buyer, the latter must ensure the accuracy and completeness of the mandatory data he/she provides. In the event of an error in the recipient's contact information, M. BASIQUES cannot be held responsible for the impossibility of delivering the Product(s).
6.4.2 Délais de livraison
Delivery times are indicated during the Pre-order process. They are indicative times, expressed in working days and correspond to the average processing and delivery times. The Buyer acknowledges that, following the principle of the Pre-order, the delivery time is extended. The estimated delivery time appears on the product sheet at the time of purchase, and in the order confirmation email. The delivery time depends on the time needed and the production volume of all the pre-ordered products.
6.4.3 Réception des produits
Upon receipt of the Products, the Buyer is required to check the condition of the packaging of the goods and to report any damage due to the carrier on the delivery slip, as well as to M. BASIQUES, within three (3) days by sending an email to info@mbasiques.com or by sending an email on the contact form on our site.

The delivery costs are to be paid by the Buyer in France and in the world. M. BASIQUES will pay for the return shipping costs in case of withdrawal or in case of return for lack of conformity, except when the delivery address is not located in France. We take care of return shipping costs if necessary in France, but they are the responsibility of our international Buyers, except in the case of non-conformity of a product, in which case we take care of the return shipping costs.
ARTICLE 7 : PAIEMENT
The payment is secured. The payment will necessarily be made via Paypal or by credit card via the secure portal Stripe. The accepted bank cards are those of the Carte Bleue, Visa, Eurocard / Mastercard networks. Buyers contract directly with the payment provider Stripe (hereinafter the "Payment Provider"), which they acknowledge and accept. The Payment Service Provider alone retains the bank details for the purpose of making payments, M. BASIQUES does not retain any bank details.
As the pre-ordering of a Product requires payment, by accepting the present Terms and Conditions, Buyers also accept the Payment Provider's general terms of use. Buyers are informed and accept that the end of the contract between a Buyer and the Payment Provider, for whatever reason, automatically and by right terminates the General Conditions between M. BASIQUES and this Buyer. In the same way, the termination of the contract between M. BASIQUES and a Buyer automatically and by right leads to the termination of As the pre-ordering of a Product requires payment, by accepting the present Terms and Conditions, Buyers also accept the Payment Provider's general terms of use. Buyers are informed and accept that the end of the contract between a Buyer and the Payment Provider, for whatever reason, automatically and by right terminates the General Conditions between M. BASIQUES and this Buyer. In the same way, the termination of the contract between M. BASIQUES and a Buyer automatically and by right leads to the termination of the General Conditions between this Buyer and the Payment Provider.
The transaction is immediately debited from the Buyer's credit card after verification of its data, upon receipt of the debit authorization from the issuer of the credit card used by the Buyer. In accordance with Article L. 132-2 of the French Monetary and Financial Code, the commitment to pay by means of a payment card is irrevocable. By providing his credit card information, the Buyer authorizes M. BASIQUES to debit his credit card for the amount corresponding to the all-inclusive price.
To this end, the Buyer confirms that he/she is the holder of the credit card to be debited and that the name on the credit card is indeed his/her own. The Buyer shall communicate the sixteen digits and the expiry date of his/her credit card as well as, if applicable, the visual cryptogram numbers.

ARTICLE 8 : DEFAUT DE CONFORMITE ET VICE CACHE
M. BASIQUES shall be held liable for any Product non-conformity in accordance with Articles L.217-4 et seq. of the French Consumer Code, and for any hidden defects in the goods sold in accordance with Articles 1641 et seq. of the French Civil Code.

- may choose between repairing or replacing the Product, subject to the cost conditions provided for in Article L. 217-9 of the Consumer Code;
- is exempted from proving the existence of the lack of conformity of the Product during the twenty-four (24) months following the delivery of the Product.
En revanche, l’Acheteur ne peut contester la conformité en invoquant un défaut qu'il connaissait ou ne pouvait ignorer lorsqu'il a commandé.
The Buyer may decide to implement the warranty against hidden defects of the thing sold within the meaning of Article 1641 of the Civil Code and in this case, he may choose between the resolution of the sale or a reduction of the sale price in accordance with Article 1644 of the Civil Code.
In the event that the Buyer finds a lack of conformity and / or hidden defects, he must inform M. BASIQUES as soon as possible by one of the means of contact mentioned in Article 2. The procedure to follow to return the Products will then be indicated by M. BASIQUES.
ARTICLE 9 : ECHANGES ET RETOURS DE PRODUIT(S)
The Buyer has a period of fourteen (14) clear days from receipt by himself or by a third party designated by him (other than the carrier), of an item purchased on the Site to exercise its return.

The Product must be returned by the Buyer in its original packaging or any equivalent packaging and in perfect condition, to request an exchange, refund or credit without penalty.

Les Produits qui ne seraient pas retournés dans les délais et conditions ci-dessus visées ne seront ni remboursés ni échangés par M. BASIQUES.

In accordance with Article L. 221-24 of the French Commercial Code, M. BASIQUES undertakes to reimburse the sums collected for the Pre-Order within fourteen (14) days. This period runs from the first of the following two dates: (i) the receipt by M. BASIQUES of the returned Products or (ii) the receipt by M. BASIQUES of the proof of shipment of the Products by the Buyer.
The refund will be made by crediting the Purchaser's bank account corresponding to the credit card used to pay for the Pre-Order. If you have changed your bank account, remember to give your new bank details to your former bank.
ARTICLE 10 : TRANSFERT DES RISQUES
Any risk of loss or damage to the products is transferred to the Buyer at the time when the latter or a third party designated by him/her, and other than the carrier, takes physical possession of the Products.

ARTICLE 11 : NIVEAU DE SERVICES
M. BASIQUES s’engage à faire ses meilleurs efforts pour maintenir un accès au Site 24h/24h, 7j/7j, sauf cas de force majeure.

BASIQUES undertakes to inform users in advance, by any useful means and in particular by a message on the home page of the Site. As part of these maintenance and/or development operations, M. BASIQUES undertakes to make its best efforts to back up the content stored in Users' Accounts.
Users acknowledge and accept that the present guarantee of level of Services does not cover any failure or interruption of access to the Site due to telecom operators or Internet and mobile web access providers.
ARTICLE 12 : LOI APPLICABLE
The present general conditions are subject to French law. In the event of a dispute or claim, the Buyer shall first contact M BASIQUES to obtain an amicable solution.
The Buyer is informed that any consumer may have recourse, free of charge, to a consumer mediator for the amicable resolution of a dispute with a professional. The mediation of consumption applies to any national or cross-border dispute between a consumer and a professional within the framework of the execution of a contract of sale or provision of services.

5° Le litige n'entre pas dans son champ de compétence.
The consumer is informed by the mediator, within a period of three weeks from the receipt of his file, of the rejection of his request for mediation.
A défaut de recours à la médiation, les tribunaux du ressort du siège de la société seront compétents.
ARTICLE 13 : PROPRIETE INTELLECTUELLE
M. BASIQUES is the exclusive owner of all intellectual property rights concerning the brand, logo, graphics, design, photographs, structure and more generally the content and databases of the Website, throughout the world. M. BASIQUES is the owner of the Site in its technical, graphic, textual and other components.
Moreover, any hypertext link, of any kind, allowing access to the Site or to any of its pages or elements, requires prior written authorization from M. BASIQUES.
Any disassembly, decompilation, decryption, extraction, reuse, copying and more generally, any act of reproduction, representation, distribution and use of the Site or any of its elements, in whole or in part, without the express prior authorization of M. BASIQUES is strictly forbidden and may be subject to legal action.
Similarly, the trademarks, logo, presentations, design, illustrations, photographs, layouts, images and sounds or any other figurative element contained on the Website are the exclusive property of M. BASIQUES and are subject to the same restrictions of use.
The violation of these imperative provisions subjects the offender, and all persons responsible, to the penalties provided for by law. Independently of the intellectual property rights mentioned above, M. BASIQUES has, in accordance with article L. 112-3 of the Intellectual Property Code, rights on the database constituted by all the Buyers.
ARTICLE 14 : FORCE MAJEURE
In the event of a force majeure event, the party concerned must inform the other party within fifteen (15) calendar days of the occurrence of this event, by registered letter with acknowledgement of receipt. M. BASIQUES shall not be held liable to the User in the event that the performance of its obligations is delayed, restricted or rendered impossible due to the occurrence of an event of force majeure, as defined by article 1218 of the French Civil Code and French case law, including in particular a total or partial strike, internal or external to M BASIQUES, a fire, a natural disaster affecting M. BASIQUES or one of its suppliers, a state of war, a total or partial interruption or blockage of the telecommunication or electrical networks, or a malicious computer virus
The occurrence of an event of force majeure will initially suspend the execution of services for a period not exceeding three (3) months. If the event of force majeure continues for more than three (3) months, the contract concerned may be terminated by right without compensation for either party by sending a registered letter with acknowledgement of receipt with immediate effect.
ARICLE 15 : INFORMATIQUES ET LIBERTÉS
In order to provide the services offered on the Site, M. BASIQUES may need to process personal data concerning you, in particular those collected when you register on the site or place your pre-order.
The information and data concerning the Buyer are strictly necessary for the management of orders, the execution and follow-up of commercial relations, as well as for internal statistical purposes. This data may be transmitted to companies involved in these relations (such as those responsible for the execution of services and orders) for their management, execution, processing and payment. This data is also kept in order to pursue security, identification, improvement and personalization of services.
The Buyer has at any time a right of access, rectification and opposition to the personal data concerning him, under the conditions provided by the law of January 6, 1978. To do so, he/she just needs to send an e-mail to info@mbasiques.com and the necessary measures will be taken immediately.
The Buyer is likely to receive, from the company M. BASIQUES, offers on products or services similar to those or that which has already been ordered, or newsletters. He will have at any time the faculty to oppose it without expenses for the future, according to modalities specified in every sending.

ARTICLE 16 : DISPOSITIONS GENERALES
16.1. Non validité partielle d’une clause
Si l’une quelconque des stipulations des présentes conditions est déclarée nulle ou non opposable par une juridiction compétente, elle sera déclarée non écrite et n’entraînera pas la nullité des autres stipulations.
16.2. Renonciation
The fact that one of the Parties has not exercised any right in application of the provisions of these General Conditions, or has exercised it late or partially, shall not be interpreted as a waiver to exercise all or part of this right.
16.3. Actualisation
The present general conditions can be modified at any time and without notice by M. BASIQUES, the applicable conditions being those in force at the date of the order by the Buyer and accepted by the latter before validating his order.

16.4. Loi applicable – Médiation - Tribunal compétent

BASIQUES or in the absence of response within two months, the Buyer may submit the dispute relating to these Terms and Conditions to a mediator who will attempt, in all independence and impartiality, to bring the parties together in order to reach an amicable solution.
